Affiliate Program Terms & Conditions

1. Program Overview

Welcome to the Restrory Affiliate Program. By participating in our affiliate program, you agree to promote Restrory's Restaurant Management System and earn commissions on qualified sales generated through your unique affiliate link.

These terms govern your participation in the Restrory Affiliate Program and constitute a binding agreement between you ("Affiliate") and Restrory ("Company", "we", "us").

2. Eligibility Requirements

To participate in the Restrory Affiliate Program, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have a valid website, blog, social media presence, or other promotional platform
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations
• Not be located in a country subject to U.S. export restrictions or sanctions
• Maintain good standing with no history of fraudulent activity

3. Enrollment Process

3.1 Application: Submit your application through our affiliate registration form with complete and accurate information about yourself and your promotional methods.

3.2 Review: Restrory reserves the right to approve or reject any affiliate application at our sole discretion. We may conduct background checks and review your promotional platforms.

3.3 Approval: Upon approval, you will receive a unique affiliate link and access to your affiliate dashboard where you can track clicks, conversions, and commissions.

3.4 Account Credentials: You are responsible for maintaining the confidentiality of your affiliate account credentials and all activities under your account.

4. Commission Structure

4.1 Commission Rates:

• Recurring Commissions: 30% commission on all subscription payments for the lifetime of the customer
• First Payment: Commission applies to the first month's subscription fee
• Subsequent Payments: 30% commission on all renewal payments as long as the customer remains active

4.2 Qualified Sales: A sale is considered qualified when:

• Customer signs up using your unique affiliate link
• Customer completes registration and activates their account
• Customer makes their first payment after any trial period
• Payment is successfully processed and cleared
• Customer is not flagged for fraudulent activity

4.3 Cookie Duration: Our affiliate tracking cookie lasts for 90 days from the initial click on your affiliate link.

4.4 Self-Referrals: Affiliates may not earn commissions on their own purchases or accounts created for personal use.

5. Payment Terms

5.1 Payment Schedule: Commissions are paid monthly, on or around the 15th of each month for commissions earned in the previous calendar month.

5.2 Minimum Payment Threshold: A minimum balance of $50 USD must be reached before payment is issued. Balances below the threshold will roll over to the next payment period.

5.3 Payment Methods: Payments are made via:

• PayPal (preferred method)
• Bank transfer (for balances over $500)
• Other methods as mutually agreed upon

5.4 Payment Information: You must provide accurate payment information. We are not responsible for payments sent to incorrect information provided by you.

5.5 Refunds and Chargebacks: If a customer requests a refund or initiates a chargeback, the corresponding commission will be deducted from your account balance.

5.6 Tax Responsibility: You are responsible for all applicable taxes on commission income. We may require tax documentation (e.g., W-9, W-8BEN) before issuing payments.

6. Promotional Guidelines

6.1 Approved Methods: You may promote Restrory through:

• Your personal website or blog with relevant content
• Social media accounts (Facebook, Instagram, Twitter, LinkedIn, etc.)
• Email marketing to your existing subscriber list (with proper opt-in)
• YouTube videos or podcasts with appropriate disclosure
• Organic search engine optimization
• Paid advertising (with prior written approval)

6.2 Brand Guidelines:

• Use our official brand name "Restrory" correctly
• Use only approved logos and marketing materials
• Do not modify our logos or trademarks
• Do not create confusion about your relationship with Restrory
• Do not imply endorsement, partnership, or employee relationship unless explicitly stated

6.3 Disclosure Requirements: You must clearly disclose your affiliate relationship with Restrory in accordance with FTC guidelines and applicable laws. Example: "This post contains affiliate links. I may earn a commission if you make a purchase through these links."

6.4 Content Standards: All promotional content must be:

• Accurate and truthful
• Professional and appropriate
• Free from spam, misleading claims, or false advertising
• Compliant with all applicable laws and regulations

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination and forfeiture of commissions:

7.1 Fraud and Manipulation:

• Cookie stuffing or forced redirects
• Click fraud or artificial traffic generation
• Creating fake accounts or referrals
• Incentivizing clicks without genuine interest
• Using bots, scripts, or automated tools to generate clicks or conversions

7.2 Trademark Violations:

• Bidding on Restrory trademarks or brand terms in paid search campaigns
• Using Restrory trademarks in domain names
• Creating misleading URLs or domains that impersonate Restrory

7.3 Inappropriate Content:

• Promoting Restrory on websites containing illegal, adult, or offensive content
• Associating Restrory with hate speech, violence, or discrimination
• Making false, misleading, or unsubstantiated claims

7.4 Spamming:

• Sending unsolicited emails or messages
• Posting spam comments or links on forums and blogs
• Using deceptive practices to gain clicks

7.5 Competitive Activities:

• Promoting direct competitors on the same page as Restrory content
• Negative comparison marketing
• Steering customers away from Restrory to competitors

8. Termination

8.1 Termination by Affiliate: You may terminate your participation in the affiliate program at any time by providing written notice to affiliates@restrory.com. Earned commissions up to the termination date will be paid according to the payment schedule.

8.2 Termination by Restrory: We reserve the right to terminate your affiliate account immediately for:

• Violation of these terms and conditions
• Fraudulent activity or suspicious behavior
• Inactivity for more than 12 consecutive months
• Damage to Restrory's reputation or brand
• Any reason, at our sole discretion

8.3 Effect of Termination: Upon termination:

• Your affiliate link will be deactivated
• Access to the affiliate dashboard will be removed
• Unpaid commissions meeting the minimum threshold will be paid (unless termination is for fraud or violation)
• You must remove all Restrory promotional materials from your platforms
• For termination due to fraud or serious violations, all commissions may be forfeited

8.4 Survival: Sections regarding confidentiality, liability, indemnification, and governing law survive termination.

9. Limitation of Liability

9.1 No Warranties: The affiliate program is provided "as is" without warranties of any kind, express or implied.

9.2 Limitation: Restrory's total liability for any claims arising from the affiliate program shall not exceed the total commissions paid to you in the 12 months preceding the claim.

9.3 Excluded Damages: We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, or data.

9.4 Program Changes: Restrory reserves the right to modify commission rates, payment terms, or program structure at any time with 30 days' notice.

10. Modifications to Terms

10.1 Right to Modify: Restrory reserves the right to modify these Affiliate Program Terms at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date.

10.2 Notification: We will notify affiliates of material changes via email to the address on file. Continued participation after notification constitutes acceptance of the modified terms.

10.3 Review Responsibility: It is your responsibility to review these terms periodically for updates.
